MONTREAL, QC (July 22, 2025) – Edgewater Strategy Group (“Edgewater”), a boutique advisory firm specializing in M&A, capital raises and Office of the CFO services, today announced that it supported Essential Turbines Inc. (“ETI”), a Swift Anchor Holdings portfolio company, on its acquisition of AeroMaritime Mediterranean Ltd. (“AeroMaritime”) from ITP Aero and supports the integration of the business, which now operates as Essential Turbines Malta, ETI’s European maintenance, repair and overhaul (“MRO”) hub.
Headquartered in Montreal, with facilities in Vancouver and Mesa, Arizona, and led by President Gannon Gambeski, ETI provides MRO services for helicopter and fixed-wing turboshaft engines. The company focuses on the Rolls-Royce M250 and RR300 engine platforms and also services turbofan engine modules and components. AeroMaritime, a Rolls-Royce Authorized Maintenance, Repair and Overhaul Center (AMROC) in Malta, has served civil and military operators around the world for more than four decades. Its 36 MRO professionals, supported by full AMROC capabilities such as a 1,000 shp engine test cell and a propeller test stand, now form Essential Turbines Malta.
ETI announced its agreement to acquire the business from ITP Aero in April 2025 and completed the transaction in July 2025. The acquisition extends ETI’s footprint from North America into the Euro-Mediterranean region and advances its growth strategy of deepening its leadership on the RR250/300 platforms, building additional engine programs with OEM partners, and expanding its capabilities and geographic reach through acquisitions and partnerships. ETI expects to maintain current service levels while it integrates the Malta team across its network.
Ahead of closing, Edgewater supported ETI with acquisition modeling and structuring analysis. Following close, Edgewater, which serves as ETI’s Office of the CFO, is supporting the financial integration of Essential Turbines Malta, including the opening balance sheet and purchase price allocation, the transition of the Malta operations into ETI’s monthly reporting and cash forecasting, and the consolidation of the business for ETI’s year-end audit.
“AeroMaritime brings more than four decades of experience and a Rolls-Royce authorized center in Malta focused on the engines ETI knows best, putting that capability within reach of operators across Europe, Africa and the Middle East. The strategic fit was clear; our role was to put rigorous numbers and the right structure behind it. The harder work starts at close. As ETI’s Office of the CFO, we are bringing Malta onto one reporting, cash and year-end process so Gannon and his team can stay focused on customers.”
