Edgewater Strategy Group Supports Age/Well Aesthetics Partners on Its Majority Acquisition of The Things We Do

Edgewater supported the operator-led medical aesthetics investment firm on its majority acquisition of The Things We Do, the founder-built Los Angeles medical spa and beauty concept bar, marking the first outside investment in the business.

– Edgewater Strategy Group (“Edgewater”), a boutique advisory firm specializing in M&A, capital raises and Office of the CFO services, today announced that it supported Age/Well Aesthetics Partners (“Age/Well”), an operator-led investment firm focused on medical aesthetics and longevity, on its majority acquisition of The Things We Do, the Los Angeles medical spa and beauty concept bar founded by aesthetic nurse injector Vanessa Lee.

Lee opened The Things We Do’s first location, in downtown Los Angeles, in late 2018 and built it into a multi-location brand over the following six years. She is credited with coining the term “facial balancing.” The brand combines injectables and facial treatments with its own skincare line, and its providers, including registered nurses and licensed estheticians, are trained in Lee’s natural-looking approach.

The transaction is the first outside investment in The Things We Do. Lee retains a significant ownership stake and remains closely involved in the business, moving from Chief Executive Officer to Chief Experience Officer, where she will focus on the clinical experience, the brand and new product development. Rachel Breitenwischer, Managing Partner of Age/Well, becomes Chief Executive Officer and will oversee operations, procurement and expansion. The new capital is intended to support additional locations across Southern California and in new states, through a combination of new openings and acquisitions of like-minded medspas, with a goal of 15 to 18 locations within five years, as well as new services such as laser treatments and further growth in e-commerce.

Edgewater worked closely with Age/Well’s leadership from the early stages of the transaction through close. The team built a three-statement pro forma LBO model with operating and financing sensitivities, prepared the investment materials used to present the opportunity to prospective financing partners, supported Age/Well in evaluating and selecting those partners, and helped drive diligence through to completion.
